Terms and conditions
Last updated: 4 November 2026
These terms are the agreement between you and PromptIQ Ltd for your use of Toolbelt AI — the app and the service behind it. By creating an account you agree to them. Please read the section on our liability particularly: it limits what we are responsible for.
Who we are
PromptIQ Ltd, a company registered in England and Wales under number 16458888, whose registered office is 2 Sandals Cottages, Church Lane, East Worldham, Alton, Hampshire, GU34 3AS. Email support@prompt-iq.io for anything to do with these terms or the service.
Your account
- You must be 18 or over, and using Toolbelt AI for a business.
- You are responsible for what happens under your account, and for keeping your sign-in details to yourself.
- An organisation’s owner can invite colleagues and decide what each of them can do. The owner is responsible for what their organisation does with the service.
- Tell us at support@prompt-iq.io straight away if you think somebody else has got into your account.
Early access
Toolbelt AI is in early access: a finished app, offered to a limited number of businesses before it launches to everyone. While early access lasts:
- Your data may be removed when Toolbelt AI goes live. We’ll do our best to keep your account and everything in it just as it is. There’s a small chance we’ll have to remove it, and if we do, we’ll tell you first. Keep your own copy of anything you can’t do without, such as quotes and invoices you have sent.
- Early access is free. We won’t ask for a card, and nothing renews automatically.
- Places are limited. Once they’ve gone, new sign-ups join a waiting list.
- Things will change as we act on what you tell us. Some features may move, change or go.
- Early access runs from Monday 9 November to Sunday 6 December 2026. It may end sooner if Toolbelt AI launches earlier or we decide to end it. We’ll give you notice by email either way.
The rest of these terms apply to early access too. Where this section and the rest disagree, this section wins while early access lasts.
Subscriptions and payment
Toolbelt AI is sold as an auto-renewing subscription, bought through the Apple App Store or Google Play. The price, the length of the period it buys, and what it includes are shown on the purchase screen in the app before you commit to anything. That means:
- Payment is taken by Apple or Google, not by us. We never see your card details.
- Subscriptions renew automatically at the end of each period, at the price shown, until you cancel.
- You cancel in your App Store or Google Play account settings, not here. Cancel at least 24 hours before the period ends, or the next one will already have been taken. Cancelling stops the next renewal; it does not shorten or refund the period you are already in.
- Refunds are handled by whichever store you bought through, under its own policies. We can ask on your behalf but we cannot make the refund ourselves.
- Where a free trial is offered, it becomes a paid subscription at the end unless you cancel before it runs out.
- Your plan sets how many people can use the account. Adding people beyond that may cost more.
We may change our prices. If we do, we will tell you before the change affects you, and you can cancel if you would rather not continue at the new price.
Cancelling and your statutory rights
Toolbelt AI is supplied for business use, and the rights below are consumer rights, so for most people using it they will not apply. They are set out because a sole trader can, in some circumstances, still be a consumer, and because it is better to say so than to leave it unclear.
- If you are a consumer, you normally have 14 days from purchase to change your mind under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Because access starts immediately, you are asked to agree to it starting at once when you subscribe, and doing so ends that right once the service has been supplied.
- Nothing in these terms affects your rights under the Consumer Rights Act 2015 — that digital content and services must be of satisfactory quality, fit for purpose and as described. If Toolbelt AI is not, you may be entitled to a repair, a replacement or a refund, whatever else these terms say.
- Because Apple and Google sell the subscription, a cancellation or refund runs through them.
Your data
The records you put into Toolbelt AI — your customers, quotes, jobs, invoices and timesheets — are yours. We do not claim any ownership of them, and we do not use them for anything except running the service for you. We do not use them to train AI models, ours or anyone else’s.
You are responsible for having the right to hold the information you enter about other people, for telling them what you do with it, and for what you do with it. What we do with personal information, and the services it reaches, is set out in our privacy policy.
What we commit to as your processor
For the personal data in your records, your business is the controller and we are your processor. This section is our contract with you under Article 28 of the UK GDPR. We will:
- Process only on your instructions. We process that personal data only to provide the service and on your documented instructions — these terms and your use of the app being those instructions — including where we transfer it out of the UK, unless the law requires otherwise, in which case we will tell you first unless the law forbids that too.
- Keep it confidential. Everyone we allow near it is under a duty of confidence.
- Keep it secure. We take the technical and organisational measures required by Article 32 — encryption in transit, hashed passwords, separation between organisations, and access limited to those who need it.
- Use sub-processors carefully. You give us general authorisation to engage the sub-processors listed in the privacy policy. We impose the same obligations on each of them, we remain responsible to you for what they do, and we will tell you before adding or replacing one so you can object.
- Help you answer people. We will help you meet requests from individuals exercising their rights, so far as the app does not already let you do it yourself.
- Help you meet your own obligations. We will help you with security, breach notification and impact assessments, taking into account what we know and what we can see.
- Tell you about a breach. If personal data we hold for you is breached, we will tell you without undue delay, with what we know.
- Give it back or delete it. At the end of the agreement we delete your personal data, or return it, as you choose, unless the law makes us keep it.
- Show our working. We will give you the information you need to show that we meet these obligations, and allow and contribute to audits, including inspections, by you or someone you appoint.
The subject matter is the provision of Toolbelt AI; the duration is the term of your subscription; the nature and purpose is storing, organising and displaying your business records, and acting on them when you ask the assistant to; the types of personal data are contact and job details of your customers and staff; and the categories of data subject are your customers and your staff.
The assistant
Toolbelt AI includes an assistant that can answer questions and carry out work on your records, such as creating a quote or converting one into a job. You are interacting with an AI system, not a person.
- It can be wrong. It is built on a language model, and language models make mistakes. Check what it has done before you rely on it — particularly anything you are about to send to a customer, and any figure on a quote or an invoice.
- It acts on your instruction, and changes it makes to your records are your responsibility in the same way as changes you make by hand.
- Using it sends your message and the records needed to answer it to OpenAI, and, if spoken replies are on, sends the reply text to OpenAI to be read aloud. The app asks your permission before it sends anything, and you can withdraw that permission at any time in the assistant’s settings. The privacy policy sets out what OpenAI does with it. You do not have to use the assistant, and the rest of the app works without it.
- Assistant use is metered. If your allowance runs out, the assistant stops until it resets; the rest of the app carries on working.
- We may change the underlying model, or how the assistant behaves, as better ones become available.
What you must not do
- Break the law, or use Toolbelt AI to help anybody else break it.
- Try to get into somebody else’s account or organisation.
- Interfere with the service, or attempt to get around its limits or metering.
- Take the service apart to rebuild it, or resell it as your own.
- Upload anything malicious, or anything you have no right to hold.
- Use the assistant to generate anything unlawful, or to try to make it behave outside what the app is for.
We can suspend or close an account that does any of these.
Availability
We work to keep Toolbelt AI running, but we do not promise it will always be available. Maintenance, faults, and failures at the services we depend on can all interrupt it.
The app keeps a copy of your records on your device and syncs when it can, so most of it keeps working without a signal. Anything needing our servers — the assistant, PDFs, subscriptions, sending to an accounting provider — needs a connection.
Ending it
- You can stop using Toolbelt AI at any time by cancelling your subscription and deleting your account from Profile → Delete Profile in the app.
- We may end this agreement if you break these terms, or if we stop offering the service. If we stop offering it, we will give you reasonable notice and time to take your records with you.
- Export anything you want to keep before you close your account. If you own the organisation, deleting your profile closes the organisation and every account in it. After that, records are deleted as described in the privacy policy.
Our liability
Nothing here limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law. If you are a consumer, nothing here takes away your rights under the Consumer Rights Act 2015.
Otherwise, and because Toolbelt AI is supplied for business use: we are not liable for lost profits, lost business, lost goodwill, or for records you have lost where you had the means to keep a copy. Our total liability in any twelve-month period is limited to what you paid for the subscription in that period.
Except as set out above, and to the extent the law allows, the service is provided as it is: we give no warranty that it, or anything the assistant produces, is accurate or fit for a particular purpose. Quotes, invoices and other documents remain yours to check before you use them.
Complaints
If something has gone wrong, email support@prompt-iq.io and tell us. We will acknowledge it and come back to you. Complaints about how we have handled personal information are dealt with under the privacy policy, which also explains your right to take one to the Information Commissioner’s Office.
Changes to these terms
We may change these terms. We will update the date at the top, and where a change matters we will tell you in the app before it takes effect. Carrying on using Toolbelt AI after that means you accept the new terms. If you do not, you can cancel.
General
- These terms are the whole agreement between us about Toolbelt AI, and replace anything said beforehand.
- You may not transfer your rights under them to anyone else. We may transfer ours if our business is sold, and your rights will not be affected.
- If any part of them turns out to be unenforceable, the rest still stands.
- Nobody other than you and us can enforce these terms.
- Not enforcing something straight away does not mean we have given it up.
Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute. If you are a consumer resident elsewhere in the United Kingdom, you keep the protection of the mandatory law of the part of the UK you live in, and may bring proceedings in its courts.
